Wholesaler Policy

1. Eligibility

  • Wholesalers must operate a valid business entity with a registered resale certificate or sales tax permit.
  • Mercury Rise Inc. reserves the right to approve or deny wholesale applications at its sole discretion.

2. Minimum Order Requirements

  • Opening Order Minimum: $1,000.-
  • Reorder Minimum: $1,000.-
  • Mercury Rise Inc. reserves the absolute right to automatically cancel, refund, or hold any order that bypasses our minimum pricing filters due to system glitches, software syncing errors, or manual input oversights, without any liability. Placing an order below the threshold does not obligate Mercury Rise Inc. to fulfill it at wholesale rates.

3. Pricing & Payment Terms

  • Wholesale prices are exclusive of shipping, handling, and applicable taxes.
  • Minimum Advertised Price (MAP): Wholesalers may not advertise, publish, or publicly display pricing for Mercury Rise Inc. products below the active Manufacturer's Suggested Retail Price (MSRP) across any digital, print, or broadcast media. Advertising products below MSRP destroys brand value and will result in immediate account suspension.
  • Suggested Retail Prices (SRP/MSRP) must be followed unless prior written approval is granted.
  • Accepted payment methods: Credit Card, PayPal, ACH transfer, or other pre-approved methods.
  • Payment is due in full prior to shipment.

4. Shipping & Handling

  • Orders ship FOB (Los Angeles, CA, USA) unless otherwise specified.
  • Shipping charges are the responsibility of the wholesaler.
  • Mercury Rise Inc. is not liable for delays caused by carriers, customs, or force majeure events.

5. Returns & Damages

  • Returns are accepted only for defective merchandise or shipping errors reported within 7 business days of delivery.
  • Returned products must be in original, unused condition.
  • Custom, special order, or clearance items are non-returnable.

6. Intellectual Property & Branding

  • Wholesalers must use official product images, descriptions, or marketing materials provided by Mercury Rise Inc.
  • Unauthorized reproduction, rebranding, or alteration of product images and materials is strictly prohibited.
  • Products may not be sold under any other name or private label without written consent.

7. Online, Marketplace, & Social Commerce Sales

  • Amazon sales are strictly reserved for Mercury Rise Inc.’s official Amazon storefront. Wholesalers are not permitted to list, resell, or fulfill products on Amazon (including FBA or FBM) under any circumstance.
  • Selling, listing, or advertising products on ANY third-party open marketplaces, auction sites, or social commerce platforms — including but not limited to eBay, Walmart Marketplace, Etsy, GunBroker, TacSwap, Facebook Marketplace, TikTok Shop, or Instagram Shop — is STRICTLY PROHIBITED unless express, explicit written authorization is granted by Mercury Rise Inc. PRIOR to any inventory listing.
  • Violation of this policy will result in the immediate and permanent termination of the wholesale account and forfeiture of all active orders.

8. Territory & Exclusivity

  • Mercury Rise Inc. does not guarantee exclusivity unless expressly stated in a separate agreement.
  • Wholesalers are expected to respect assigned territories when exclusivity is granted.

9. Termination

  • Mercury Rise Inc. reserves the right to suspend or terminate wholesale accounts that violate this policy.
  • Outstanding balances must be settled immediately upon termination.

10. End-User Customer Support

Authorized wholesalers are solely responsible for handling all first-line customer service, technical inquiries, and return/exchange requests from their own end-user retail customers. Mercury Rise Inc. does not provide direct warranty fulfillment, refunds, or technical support to retail customers who purchased products through a third-party wholesaler.

11. Agreement

By placing a wholesale order, you acknowledge and agree to abide by the terms of this Wholesaler Policy.
